Terms of Service

Ncodex provides IT consulting, digital transformation strategy, UI/UX architecture, custom software development, and cloud integration solutions. Specific deliverables, scope, timelines, and commercial terms for client engagements are established through dedicated Statements of Work (SOW) or Master Services Agreements (MSA).

Unless otherwise specified in a custom Master Services Agreement:

• Client Ownership: Upon full payment of agreed project fees, the client retains full ownership of custom code, custom software assets, and bespoke deliverables created specifically for their organization.
• Ncodex Assets: Pre-existing frameworks, proprietary tools, open-source modules, and general design patterns utilized by Ncodex remain the property of Ncodex or their respective copyright holders.

Successful digital transformation requires active collaboration. Clients are responsible for providing timely feedback, access to necessary third-party APIs or systems, and clear project requirements. Delays in client feedback or system access may adjust overall delivery timelines accordingly.

While Ncodex applies industry-standard code quality, testing, and security practices, Ncodex shall not be held liable for indirect, incidental, or consequential damages, loss of business revenue, or data issues resulting from third-party server downtimes, unapproved client code modifications, or external API disruptions.

These terms are governed by and construed under applicable laws. Ncodex reserves the right to modify or update these Terms of Service periodically to reflect changes in our consulting practices or legal obligations.
